Hot Dev Software License Agreement

This Software License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity, "you" or "Licensee") and Hot Dev, LLC, a Delaware limited liability company ("Hot Dev," "Company," "we," "us," or "our").

By downloading, installing, or using the Hot software, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not download, install, or use the Software.

1. DEFINITIONS

"Documentation" means the user guides, tutorials, and other documentation available at https://hot.dev/docs.

"Hot CLI" means the Hot command-line interface tool.

"Hot Runtime" means the Hot language runtime and bytecode virtual machine.

"Software" means the Hot CLI, Hot Runtime, and associated tools provided by Hot Dev in binary (executable) form, including any updates, patches, or new versions.

2. LICENSE GRANT

2.1 Free License for Development and Personal Use

Subject to the terms of this Agreement, Hot Dev grants you a non-exclusive, non-transferable, revocable, royalty-free license to:

a) Download, install, and use the Software on your personal computers and development machines

b) Use the Software for development, testing, evaluation, and personal projects

c) Use the Software for educational and learning purposes

d) Run the Software locally for development purposes, including running local development servers

e) Create and test workflows using the Hot programming language

2.2 Production and Commercial Use

For production deployments, commercial use, or hosting the Software as a service:

a) Hot Cloud: Use Hot Cloud, our managed cloud platform, available at https://app.hot.dev with plans and pricing at https://hot.dev/pricing

b) Self-Hosted License: Obtain a commercial self-hosted license by contacting sales@hot.dev. Self-hosted licensing terms are available at https://hot.dev/license-selfhost

2.3 What Constitutes Production Use

"Production use" means any use of the Software that is:

a) Deployed to serve end users, customers, or the public

b) Processing real business data (not test or development data)

c) Part of a revenue-generating application or service

d) Running in a production, staging, or pre-production environment serving external users

e) Offered as a hosted service to third parties

3. RESTRICTIONS

You may NOT:

a) Distribute, sublicense, rent, lease, or transfer the Software to any third party

b) Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software

c) Remove, alter, or obscure any proprietary notices, labels, or marks on the Software

d) Use the Software for production purposes without a valid commercial license (Hot Cloud or Self-Hosted)

e) Use the Software to develop a competing product or service

f) Offer the Software as a hosted service (SaaS, PaaS, or similar) to third parties

g) Use the Software in violation of applicable laws or regulations

h) Modify, create derivative works of, or merge the Software with other software

i) Use the Software for benchmarking or competitive analysis without Hot Dev's written consent

j) Circumvent or attempt to circumvent any license validation, usage restrictions, or security measures

k) Use the Software in any manner that could damage, disable, or impair Hot Dev's services

4. INTELLECTUAL PROPERTY

4.1 Ownership

The Software is licensed, not sold. Hot Dev and its licensors retain all rights, title, and interest in and to the Software, including all intellectual property rights. This Agreement does not grant you any ownership rights in the Software.

4.2 Your Content

You retain all rights to the workflows, code, and content you create using the Software. Hot Dev claims no ownership of your content.

4.3 Feedback

If you provide suggestions, ideas, or feedback about the Software, Hot Dev may use such feedback without restriction or compensation to you.

4.4 Trademarks

"Hot," "Hot Dev," the Hot logo, and related marks are trademarks of Hot Dev, LLC. This Agreement does not grant you any rights to use Hot Dev's trademarks except as required for reasonable and customary use in describing the origin of your work.

5. UPDATES AND NEW VERSIONS

5.1 Updates

Hot Dev may, but is not obligated to, provide updates, patches, or new versions of the Software. Updates are subject to the terms of this Agreement unless accompanied by separate terms.

5.2 Automatic Features

The Software may include features that automatically check for updates or transmit anonymous usage data. You may disable these features where technically possible.

6. TERM AND TERMINATION

6.1 Term

This Agreement is effective until terminated.

6.2 Termination by You

You may terminate this Agreement at any time by uninstalling and destroying all copies of the Software.

6.3 Termination by Hot Dev

Hot Dev may terminate this Agreement immediately if you breach any term. Hot Dev may also terminate or modify the free license grant at any time with thirty (30) days notice.

6.4 Effect of Termination

Upon termination:

a) All licenses granted under this Agreement immediately terminate

b) You must cease using and destroy all copies of the Software

c) Sections 4, 7, 8, 9, and 10 survive termination

7. DISCLAIMER OF WARRANTIES

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. HOT DEV DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

HOT DEV DOES NOT WARRANT THAT:

a) THE SOFTWARE WILL MEET YOUR REQUIREMENTS

b) THE SOFTWARE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE

c) THE RESULTS OBTAINED FROM THE SOFTWARE WILL BE ACCURATE OR RELIABLE

d) ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED

YOU USE THE SOFTWARE AT YOUR OWN RISK. YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA RESULTING FROM USE OF THE SOFTWARE.

8. LIMITATION OF LIABILITY

8.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL HOT DEV BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.2 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOT DEV'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED FIFTY DOLLARS ($50.00) OR THE AMOUNT YOU PAID FOR THE SOFTWARE, WHICHEVER IS GREATER.

8.3 Essential Purpose

THE LIMITATIONS IN THIS SECTION APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

8.4 Jurisdictional Limitations

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, HOT DEV'S LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

9. EXPORT COMPLIANCE

The Software may be subject to U.S. export control laws, including the Export Administration Regulations (EAR). You agree not to export, re-export, or transfer the Software:

a) To any country subject to U.S. embargo or trade sanctions (currently including Cuba, Iran, North Korea, Syria, and certain regions of Ukraine)

b) To any person or entity on U.S. government restricted party lists

c) For any prohibited end use

You represent that you are not located in a sanctioned country and are not on any restricted party list.

10. GENERAL PROVISIONS

10.1 Governing Law

This Agreement is governed by the laws of the State of Delaware, without regard to conflict of law principles.

10.2 Dispute Resolution

Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (for individuals) or Commercial Arbitration Rules (for entities). The arbitration shall be conducted in Wilmington, Delaware.

10.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

10.4 Entire Agreement

This Agreement constitutes the entire agreement between you and Hot Dev concerning the Software and supersedes all prior agreements.

10.5 Severability

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions remain in effect.

10.6 Waiver

Hot Dev's failure to enforce any provision does not constitute a waiver of that provision.

10.7 Assignment

You may not assign this Agreement without Hot Dev's written consent. Hot Dev may assign this Agreement freely.

10.8 Modifications

Hot Dev may modify this Agreement by posting revised terms at https://hot.dev/license. Your continued use of the Software after changes take effect constitutes acceptance of the modified terms.

12. ACKNOWLEDGMENT

BY DOWNLOADING, INSTALLING, OR USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.
